TERMS AND CONDITIONS

1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Applicant," "Client," or "you") and 1Nation Capital ("Company," "we," "us," or "our"), a business lending company organized under the laws of the State of New York. By submitting an application, accessing our website, or engaging our services in any capacity, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety.

If you are submitting an application on behalf of a business entity, you represent and warrant that you have the authority to bind that entity to these Terms, and that all information provided is accurate, complete, and truthful.

2. Eligibility

To be eligible for business funding through 1Nation Capital, you must meet the following minimum requirements:

• You must be at least 18 years of age and a legal resident or citizen of the United States

• Your business must be legally formed and operating in the United States

• You must be an authorized owner, officer, or representative of the applying business

• You must provide all requested documentation in a timely and accurate manner

1 Nation Capital reserves the right to modify eligibility criteria at any time without prior notice. Meeting minimum eligibility requirements does not guarantee approval of funding.

3. Application Process and Representations

3.1 Accuracy of Information

By submitting an application, you represent and warrant that all information provided — including but not limited to financial statements, bank records, tax documents, ownership information, and business details — is true, accurate, complete, and not misleading. Providing false, fraudulent, or misleading information is grounds for immediate denial of your application and may subject you to civil and criminal liability under applicable federal and state law, including 18 U.S.C. § 1014 (False Statements to Financial Institutions).

3.2 Credit Authorization

By submitting an application, you expressly authorize 1Nation Capital and its funding partners to obtain consumer and business credit reports from one or more credit reporting agencies, and to share such reports with relevant parties for underwriting purposes. This authorization remains valid for the duration of your relationship with 1Nation Capital.

3.3 No Guarantee of Funding

Submission of an application does not constitute a commitment to lend or an offer of credit. All funding decisions are made at the sole and absolute discretion of 1Nation Capital and its lending partners, based on underwriting criteria that may change without notice.

4. Fees and Costs

1Nation Capital does not charge upfront application fees. However, the following may apply depending on the type of funding product:

• Origination fees, factoring rates, or factor rates disclosed in your funding agreement

• Late payment fees as specified in your executed agreement

• Prepayment terms as outlined in your specific contract

All fees, rates, and repayment terms will be clearly disclosed in writing before you are asked to sign any agreement. You have the right to review all terms and seek independent legal or financial advice before signing.

5. Confidentiality

All terms, rates, and conditions offered to you by 1Nation Capital are confidential and proprietary. You agree not to disclose the specific terms of any offer or agreement to any third party without our prior written consent, except as required by law or for the purpose of obtaining legal or financial advice.

6. Use of Funds

All funding provided by 1Nation Capital must be used exclusively for legitimate business purposes. You agree not to use any funded amounts for personal, household, or consumer purposes. Misuse of funds may constitute a material breach of your funding agreement and may result in acceleration of repayment obligations and legal action.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, 1 NATION CAPITAL, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND PARTNERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF OUR SERVICES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION, EVEN IF 1 NATION CAPITAL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

In no event shall 1Nation Capital's total aggregate liability exceed the total amount of fees paid by you to 1Nation Capital in the three (3) months preceding the event giving rise to the claim.

8. Indemnification

You agree to indemnify, defend, and hold harmless 1Nation Capital and its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your breach of these Terms; (b) your violation of any applicable law or regulation; (c) any fraudulent or inaccurate information provided by you; or (d) your use of our services.

9. Governing Law and Dispute Resolution

9.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles.

9.2 Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms or your relationship with 1Nation Capital shall first be submitted to non-binding mediation. If mediation is unsuccessful, the parties agree to submit to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration shall take place in New York County, New York. The decision of the arbitrator shall be final and binding.

9.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU HEREBY WAIVE YOUR RIGHT TO PARTICIPATE IN ANY CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

10. Intellectual Property

All content on the 1Nation Capital website, including but not limited to text, graphics, logos, images, and software, is the exclusive property of 1Nation Capital and is protected by applicable copyright, trademark, and intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content without our express written permission.

11. Termination

1Nation Capital reserves the right to terminate or suspend your access to our services at any time, with or without cause, and with or without notice. Upon termination, all provisions of these Terms that by their nature should survive termination shall so survive, including but not limited to warranty disclaimers, indemnification, and limitation of liability provisions.

12. Entire Agreement

These Terms, together with our Privacy Policy and any executed funding agreement, constitute the entire agreement between you and 1Nation Capital with respect to the subject matter herein and supersede all prior or contemporaneous communications, agreements, and understandings, whether oral or written.

13. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable from the remaining Terms and shall not affect the validity and enforceability of the remaining provisions.

14. Amendments

1Nation Capital reserves the right to amend these Terms at any time by posting updated Terms on our website. Your continued use of our services after such posting constitutes your acceptance of the amended Terms. We encourage you to review these Terms periodically.
